Terms of Service

1. Acceptance of Terms

By accessing or using the Proxion platform and any associated services (collectively, "the Service"), you agree to be bound by these Terms of Use ("Terms"). If you are accessing the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not access or use the Service.

 

2. Description of Service

Proxion operates a finance-domain intelligence infrastructure platform that converts expert financial knowledge into structured, auditable training data and evaluation frameworks for artificial intelligence systems. The Service includes:

•       Structured financial reasoning task creation and curation

•       Expert-generated training and evaluation datasets for AI models

•       Benchmarking and performance measurement tools for financial AI systems

•       Quality assurance and review workflows for AI output evaluation

•       Related tools, APIs, and infrastructure supporting the above

 

Proxion does not provide financial advice, investment recommendations, or regulated financial services. Nothing on the platform constitutes a recommendation to buy, sell, or hold any security or financial instrument.

 

3. Eligibility and Registration

Access to the Service is limited to organizations and individuals who:

•       Are at least 18 years of age

•       Have the legal capacity to enter into binding agreements

•       Are not subject to sanctions or export restrictions that would prohibit use of the Service

 

You agree to provide accurate, complete, and current registration information and to update it promptly if it changes. Proxion reserves the right to verify credentials and reject or revoke access at its discretion.

 

4. User Responsibilities

All users of the Service agree to:

•       Use the Service only for lawful purposes and in compliance with all applicable laws, including those governing data privacy, securities, financial services, and intellectual property

•       Not attempt to reverse engineer, scrape, copy, or reproduce any part of the platform, its datasets, or its evaluation frameworks

•       Not misrepresent professional credentials, domain expertise, or organizational affiliation

•       Not use the Service to train, evaluate, or benchmark AI systems in ways that violate applicable law or these Terms

•       Not introduce malicious code, automated bots, or unauthorized data collection mechanisms into the platform

•       Promptly report any security vulnerabilities or unauthorized access to Proxion

 

5. Expert Network Terms

Finance professionals who participate in the Proxion expert network as contributors, reviewers, or evaluators additionally agree to:

•       Provide accurate and verifiable credentials, including professional background, licenses, and institutional affiliations

•       Not contribute content that violates any employment agreement, non-compete, non-solicitation, or confidentiality obligation owed to any current or former employer

•       Not contribute material non-public information, insider information, or any information whose disclosure would violate securities laws or financial regulations

•       Comply with all applicable regulatory requirements governing their profession, including those imposed by FINRA, the SEC, CFA Institute, or equivalent bodies

•       Ensure all contributed content is original, does not infringe third-party intellectual property rights, and accurately reflects professional-grade reasoning

•       Disclose any conflicts of interest that may affect the objectivity or accuracy of contributed content

 

Proxion reserves the right to remove contributors from the network for any breach of these obligations.

 

6. Intellectual Property

Platform IP

All technology, software, design, infrastructure, algorithms, and platform functionality comprising the Service are the exclusive property of Proxion and are protected by applicable intellectual property laws. No license to use Proxion's technology is granted except as expressly provided in these Terms or a separate written agreement.

 

Generated Data and Datasets

All training data, evaluation datasets, benchmarks, rubrics, and structured outputs generated through the Service — whether produced by Proxion, expert contributors, or AI systems operating on the platform — are owned by Proxion unless otherwise specified in a separate enterprise licensing agreement. Contributors assign to Proxion all rights, title, and interest in content created in connection with the Service.

 

Client Licenses

Enterprise clients who license datasets or evaluation frameworks from Proxion receive a limited, non-exclusive, non-transferable license to use such materials solely as specified in their executed agreement with Proxion. Sublicensing, redistribution, or use to train models for sale to third parties requires explicit written consent from Proxion.

 

Feedback

Any suggestions, feedback, or ideas submitted to Proxion regarding the Service may be used by Proxion without restriction or compensation.

 

7. Confidentiality

In the course of using the Service, users may access confidential information, including proprietary datasets, evaluation methodologies, client identities, pricing, and platform architecture. Users agree to:

•       Maintain strict confidentiality of all non-public information encountered through the Service

•       Use confidential information solely for the purpose for which it was disclosed

•       Not disclose confidential information to any third party without prior written authorization from Proxion

•       Apply at minimum the same standard of care used to protect their own confidential information, but no less than reasonable care

 

These obligations survive termination of access to the Service.

 

8. Data Privacy

Proxion collects and processes personal data as described in its Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to such collection and processing. Users who contribute financial reasoning content acknowledge that de-identified versions of such content may be incorporated into training or evaluation datasets.

 

9. No Financial Advice

The Service is a data infrastructure and AI evaluation platform. Proxion is not a registered investment adviser, broker-dealer, or financial institution. Nothing on the platform constitutes investment advice, financial advice, legal advice, or any form of professional recommendation. Users should not rely on any platform content for financial decision-making.

 

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind. Proxion expressly disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Proxion does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

 

11. Limitation of Liability

To the maximum extent permitted by applicable law, Proxion shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, data, business, or goodwill, arising out of or related to your use of the Service, even if advised of the possibility of such damages.

 

Proxion's total cumulative liability to you for any claims arising under these Terms shall not exceed the greater of (a) the total fees paid by you to Proxion in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).

 

12. Indemnification

You agree to indemnify, defend, and hold harmless Proxion and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party right.

 

13. Termination

Proxion may suspend or terminate your access to the Service immediately, with or without notice, for any reason, including breach of these Terms, violation of applicable law, or conduct that Proxion determines in its sole discretion to be harmful to the platform, its users, or third parties. Upon termination, all licenses granted to you under these Terms immediately cease. Sections 6, 7, 9, 10, 11, 12, and 15 survive termination.

 

14. Modifications to the Service and Terms

Proxion reserves the right to modify, suspend, or discontinue any aspect of the Service at any time without liability. We may update these Terms at any time by posting a revised version with an updated effective date. For material changes, we will provide notice via email or prominent platform notification. Continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.

 

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in New York, New York. Notwithstanding the foregoing, Proxion may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

 

16. General Provisions

•       Entire Agreement: These Terms, together with the Privacy Policy and any executed enterprise agreements, constitute the entire agreement between you and Proxion regarding the Service.

•       Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force.

•       Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

•       Assignment: You may not assign your rights under these Terms without Proxion's prior written consent. Proxion may assign its rights freely.

•       No Partnership: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Proxion.
